This End User License Agreement ("Agreement") is between Netsoft Ltd, a company registered in Mauritius ("Netsoft", "we", "us"), and the business customer using the Netsoft Electronic Billing System ("the Service", "you"). By accessing the Service, you agree to this Agreement.

1. The Service

Netsoft EBS is an electronic billing platform that transmits sales documents (invoices, credit notes and debit notes) to the Mauritius Revenue Authority ("MRA") e-Invoicing System for fiscalisation, and returns the resulting Invoice Registration Number (IRN) and QR code. The Service can operate standalone or connected to your accounting application (such as QuickBooks Online or Zoho Books).

2. License

We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business invoicing during your subscription. You may not resell, copy, modify or reverse-engineer the Service or make it available to third parties.

3. Your account and responsibilities

You are responsible for keeping your login credentials confidential, for the accuracy and completeness of the business, customer and invoice data you (or your connected accounting application) supply, and for maintaining a valid EBS registration with the MRA. Fiscalised documents are transmitted to the MRA on your behalf and cannot be altered or deleted afterwards; corrections are made by credit or debit note as required by MRA rules.

4. Connected applications

Where you connect an accounting application, you authorise the Service to read the sales documents and customer records needed for fiscalisation and to write back the IRN and QR code. That connection is governed also by the terms of the application provider (e.g. Intuit or Zoho), and you may disconnect it at any time.

5. Tax compliance

The Service is a transmission and record-keeping tool. You remain solely responsible for your tax affairs, including the correctness of amounts, VAT treatment and the completeness of your declarations to the MRA. Netsoft is not a tax advisor.

6. Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted operation, and the Service depends on third-party systems (including the MRA e-Invoicing System and your accounting application) that are outside our control. Documents that cannot be fiscalised immediately are queued and retried.

7. Limitation of liability

To the maximum extent permitted by law, Netsoft's total liability arising out of the Service is limited to the fees you paid for the Service in the three months preceding the claim, and Netsoft is not liable for indirect or consequential loss, including penalties arising from data you supplied.

8. Termination

Either party may terminate with written notice. On termination we will, on request, provide you with an export of your fiscalised document records before deletion.

9. Changes

We may update this Agreement from time to time; the current version is always published at this address, and material changes will be notified to you.

10. Governing law

This Agreement is governed by the laws of the Republic of Mauritius, and the courts of Mauritius have jurisdiction.
